About This Agreement
This Supplier Content License Agreement ("Agreement") is between you ("Supplier", "you", "your") and UNVL Ltd ("UNVL", "we", "us", "our"), a company registered in England and Wales.
This Agreement governs how UNVL may use the content you contribute to our platform, including voice recordings, transcripts, and written responses that help power UNVL Assist, our AI wedding planning assistant.
Please read this Agreement carefully before contributing content.
1. What This Agreement Covers
This Agreement applies to all content you voluntarily submit to UNVL for use in UNVL Assist, including:
- Voice recordings submitted through the Supplier Dashboard
- Transcripts created from your voice recordings
- Written responses to questions
- Any other content you provide for use in UNVL Assist
This Agreement does not cover your supplier profile information or portfolio images, including content imported from your website during onboarding. Those are governed by our Supplier Terms of Service (in particular Section 7, which covers content you upload or import and the licence you grant over it).
2. The Licence You Grant to UNVL
By accepting this Agreement, you grant UNVL a non-exclusive, worldwide, royalty-free licence to:
- Use your content within the UNVL platform and services
- Transcribe your voice recordings into text
- Edit and adapt your content for clarity, formatting, and platform requirements
- Index your content so it can be retrieved by our assistant features
- Display excerpts of your content in assistant responses, search results, and other platform features
- Process your content using third-party services (such as transcription and AI providers) that help us deliver our platform
This licence allows us to incorporate your expert knowledge into UNVL Assist so that couples can benefit from your insights when planning their weddings.
3. What You Keep
You retain ownership of your content. This Agreement grants UNVL a licence to use your content, but you remain the owner.
You keep the right to use your content elsewhere. Nothing in this Agreement prevents you from using the same content on your own website, social media, or any other platform.
You will be attributed. Where practical, we will attribute insights to your business name so couples know where the expertise comes from.
4. Your Promises to Us
By submitting content under this Agreement, you confirm that:
- It's yours to share. You have the right to grant this licence, and your content doesn't infringe anyone else's rights.
- It's your own work. The content is original to you, or you have permission to share it.
- It's accurate. The information you provide is true and accurate to the best of your knowledge.
- It's appropriate. Your content doesn't contain anything unlawful, defamatory, discriminatory, or harmful.
5. How We Process Your Content
To deliver UNVL Assist, we use trusted third-party services to process your content:
- Transcription services convert your voice recordings to text
- AI services help us analyse, index, and generate responses using your content
These service providers are contractually bound to protect your data and use it only for the purposes we specify. We process your content in accordance with UK data protection law and our Privacy Policy, which you can view at unvl.co/privacy.
6. Special Category Information
Some questions may involve topics that UK data protection law treats as sensitive, such as:
- Religious or philosophical beliefs (for example religious ceremony requirements)
- Health information (for example dietary requirements for medical reasons)
- Information related to ethnic origin (for example cultural wedding traditions)
If you choose to answer questions on these topics, we will ask for your specific consent before processing that content. You can decline without affecting your general participation in UNVL Assist.
7. Your Right to Withdraw
You can revoke this licence at any time.
If you change your mind about contributing to UNVL Assist, you can withdraw your consent by using the "Revoke licence" option in Supplier Dashboard → Settings → Privacy & Data, or by emailing us at consent@unvl.co with the subject "Content Licence Revocation".
Note for Ambassador suppliers: the Content Licence is part of the Ambassador agreement (your contributions are the consideration for your free account). Revoking the licence requires leaving the Ambassador programme first; please contact us at consent@unvl.co to discuss.
What happens when you revoke:
- We will remove your content from active use in UNVL Assist as soon as reasonably practicable, normally within 72 hours
- We will remove your content from our search and AI systems as soon as reasonably practicable, normally within 7 days (this includes deleting or regenerating the search embeddings derived from your content)
- Some cached content may take up to 30 days to clear completely due to technical processes
- Content in backups or archives (which are not actively used) may be retained for legal and operational purposes
Revocation applies to future use only. If your content has already been used (for example in a response provided to a couple before you revoked), we are not required to undo that past use.
You can come back. If you revoke and later change your mind, you can accept this Agreement again and resume contributing.
8. What This Doesn't Affect
Revoking this licence does not affect your supplier profile on UNVL, your ability to receive enquiries and bookings, or any other features of your UNVL account. This Agreement is specifically about your contributions to UNVL Assist.
9. Our Liability
UNVL provides the platform on an "as is" basis. While we take care to present your content accurately, we cannot guarantee how couples will interpret or act on advice.
We are not liable for how couples use or interpret information from UNVL Assist, any decisions couples make based on content that includes your contributions, or any indirect or consequential losses.
You agree to indemnify UNVL against any claims arising from content you submit that breaches your promises in Section 4.
Nothing in this Agreement limits or excludes any liability that cannot lawfully be limited or excluded under English law.
10. Changes to This Agreement
We may update this Agreement from time to time. If we make significant changes, we will notify you via email or through the Supplier Dashboard, ask you to accept the new version before submitting new content, and keep content already submitted covered by the version you accepted at the time.
11. General Terms
Entire Agreement. This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and UNVL regarding your content contributions.
Severability. If any part of this Agreement is found to be unenforceable, the remaining parts continue in full effect.
Governing Law. This Agreement is governed by the laws of England and Wales. Any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
